Abstract:

This paper provides a law and economics analysis of the effects of employee participation in corporations. It begins by exploring, from a theoretical perspective, how employee participation might reduce principal-agent problems. Next, this paper distinguishes different forms of employee participation, emphasizing ownership plans—where employees receive shares—and active roles on corporate boards. In addition to the theoretical exposure of the potential advantages and possible challenges and drawbacks of employee participation, the paper also reviews the empirical evidence concerning the effects of employee participation.
